CVS Health plans to divide its $117 billion business into two independent companies, reversing a strategy that brought together its pharmacy, insurance and prescription benefits operations, according to CNN.

The restructuring will unwind major acquisitions, including its 2007 merger with Caremark and its $69 billion purchase of health insurer Aetna in 2018. CEO David Joyner said the company believes the businesses can operate more effectively as separate entities.

The transaction is expected to be completed in early 2028. Shareholders will receive stock in both companies through a tax-free distribution, CVS said.

The announcement comes as the company reported higher third-quarter revenue and earnings, driven largely by improved performance in its Health Care Benefits division. CVS also increased its earnings outlook for the remainder of the year.

The company operates approximately 9,000 locations across the United States, including 800 MinuteClinics staffed by healthcare professionals.
