Lockheed Martin has agreed to acquire Ultra Maritime for $3.45 billion in a move to expand its undersea warfare and anti-submarine defense capabilities.

According to the report, the acquisition will strengthen the company's naval defense portfolio as global demand for advanced military technologies continues to rise.

Ultra Maritime, currently owned by private equity firm Advent International, develops mission-critical systems including sonar, sonobuoys, and torpedo defense countermeasures.

Once the transaction is completed, the business will become part of Lockheed Martin's Rotary and Mission Systems division.

Stephanie C. Hill, president of the division, said the acquisition reflects the importance of advancing undersea defense capabilities through stronger industrial partnerships.

According to the report, the deal comes as worldwide military spending reached record levels in 2025, fueling increased investment and consolidation across the defense industry.

Financial advisers Guggenheim and JPMorgan are supporting the transaction.
